KSK - NOTICE OF BOOK CLOSURE

LISTING'S CIRCULAR NO. L/Q : 68877 OF 2013

Selective capital reduction and repayment exercise pursuant to Section 64 of the Companies Act, 1965 involving KSK Group Berhad ("SCR").

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted [ "Ex - Offer" ] as from : [ 8 October 2013 ]

2) The last date of lodgement : [ 10 October 2013 ]

Remarks :- The SCR entails a selective capital reduction and repayment exercise pursuant to Section 64 of the Companies Act, 1965 involving the reduction of the enlarged issued and paid-up share capital of KSK Group Berhad ("KSK") to RM250,000 comprising 1,000,000 ordinary shares of RM0.25 each in KSK ("KSK Share(s)") by way of cancellation of 1,638,678,278 KSK Shares held by the shareholders of KSK other than Tan Sri Dato' Paduka Kua Sian Kooi and the persons acting in concert with him in relation to the SCR, namely Puan Sri Siew Toh Ee, Datuk Kua Chung Sen, Dato' Quah Teong Moo, C S Kua Sdn Bhd, Kua Pek Suan and Kua Ying-Fei (collectively referred to as the "Non-Entitled Shareholders").

Under the SCR, all the shareholders of KSK other than the Non-Entitled Shareholders, whose names appear in the Record of Depositors of KSK as at the close of business on 10 October 2013 ("Entitlement Date") shall be entitled to receive a capital repayment of RM0.65 in cash for each existing KSK Share held. The Non-Entitled Shareholders will waive their entitlements to the capital repayment pursuant to the SCR. The capital repayment shall be made by 18 October 2013.

KSK will be delisted and withdrawn from the Official List of Bursa Malaysia Securities Berhad("Bursa Securities") upon successful completion of the SCR.

The trading of KSK Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Friday, 4 October 2013, being three (3) clear market days prior to the Entitlement Date. Accordingly, the last day for trading of KSK Shares on the Main Market of Bursa Securities prior to the suspension will be 5.00 p.m. on Thursday, 3 October 2013.

The KSK Shares will no longer be traded on the Official List after the trading of KSK Shares is suspended on Friday, 4 October 2013. For the avoidance of doubt, the trading of KSK Shares will continue to be suspended with effect from 9.00 a.m. on Friday, 4 October 2013 until the removal of KSK from the Official List.

The notice to shareholders in relation to the suspension of trading of KSK Shares and the Entitlement Date will be despatched to the shareholders of KSK on 27 September 2013.
