(For consistency purposes, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the Company’s announcement dated 3 December 2018 in relation to the Application.)

We refer to the Company’s announcement dated 3 December 2018 in relation to the Application.

On behalf of the Board of Directors of SMCB, KAF Investment Bank Berhad wishes to announce that after due consideration of all facts and circumstances of the Application, Bursa Securities had, vide its letter dated 9 January 2019, granted the Company an extension of time of 4 months up to 5 April 2019 to submit a regularisation plan to the regulatory authorities subject to the Requisite Announcement being made by 28 February 2019.

The aforesaid extension of time is without prejudice to Bursa Securities’ right to proceed to suspend the trading of the listed securities of SMCB and to de-list the Company in the event:-

(a)      the Company fails to make the Requisite Announcement on or before 28 February 2019;

(b)      the Company fails to submit a regularisation plan to the regulatory authorities on or before 5 April 2019;

(c)      the Company fails to obtain the approval from any of the regulatory authorities necessary for the implementation of its regularisation plan; or

(d)      the Company fails to implement its regularisation plan within the time frame or extended time frame stipulated by any of the regulatory authorities.

Upon occurrence of any of the events set out in (a) to (d) above, Bursa Securities shall suspend the trading of the listed securities of SMCB on the 6th market day after the date of notification of suspension by Bursa Securities and de-list the Company, subject to the Company's right to appeal against the delisting.
