The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

We refer to the earlier announcements dated 3 September 2019, 29 October 2019, 17 December 2019 and 18 December 2019 in relation to the Proposals.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 13 January 2020, resolved to approve the following:-

i. admission to the Official List and listing and quotation of:-

(a) up to 6,527,407,770 ICPS to be issued pursuant to the Proposed Rights Issue; and

(b) 750,000,000 ICPS to be issued pursuant to the Proposed Acquisition;

ii. listing and quotation of up to 7,277,407,770 new Ageson Shares to be issued arising from the conversion of the ICPS.

The approval by Bursa Securities is subject to the following conditions:-

i. Ageson and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposals;

ii. Ageson and UOBKH to inform Bursa Securities upon the completion of the Proposals;

iii. Ageson and UOBKH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposals are completed; and

iv. Ageson to furnish Bursa Securities on a quarterly basis a summary of the total number of ordinary shares listed pursuant to the conversion of ICPS as at the end of each quarter together with a detailed computation of the listing fees payable.
