For consistency purposes, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the Company’s circular in relation to the Proposals dated 4 December 2019 (“Circular”).
We refer to the Company’s announcements dated 13 August 2019, 27 November 2019 and 31 December 2019, and the Circular in relation to the Proposals.
On behalf of the Board of Directors of CLSB, KAF IB wishes to announce that all the Conditions Precedent to the SPA for the Proposed Disposals have been fulfilled on 31 January 2020 save for the condition precedent relating to the acquisition of the Included Lands by DSA, which has been waived by the Purchaser solely for the purpose of Completion after taking into consideration that CLSB has agreed to procure the completion of the same after Completion. Accordingly, the SPA for the Proposed Disposals has become unconditional on even date.
