We refer to the previous announcements in relation to the Proposals. Unless otherwise stated, all terms used in this announcement shall have the same meaning as defined in the said announcements.

On behalf of the Board, RHB Investment Bank wishes to announce that the SSA has become unconditional on 14 February 2020 following the fulfilment of all conditions precedent as set out in the SSA. In accordance with the terms of the SSA, the Acquisition is expected to be completed within 10 market days after the SSA becomes unconditional.

As such, RHB Investment Bank had, on behalf of CSSSB, served the notice of unconditional take-over offer in respect of the Mandatory Offer (“Notice”) on the board of directors of Caring on even date. A copy of the Notice is attached herewith for your information.
