On behalf of the Board of Directors of Vertice, Mercury Securities Sdn Bhd wishes to announce that the Company proposes to undertake the following:-
(i) proposed issuance of up to 600,000,000 new 2% cumulative redeemable convertible preference shares in Vertice (“RCPS”) at an issue price of RM0.10 each to Advance Opportunities Fund and Advance Opportunities Fund I (“Proposed Issuance of RCPS”); and
(ii) proposed amendments to the Constitution of the Company to facilitate the implementation of the Proposed Issuance of RCPS (“Proposed Amendments”),
(collectively referred to as the “Proposals”).
