Bumi Armada Berhad (“BAB”) wishes to announce that its wholly-owned indirect subsidiary, Bumi Armada Australia Pty Ltd (“BAAPL”) has via Members Circular Resolution dated 22 October 2020 approved the Special Resolution for the members’ voluntary winding up of BAAPL pursuant to Section 491 of the Australia Corporations Act 2001. Mr. Cliff Sanderson, Chartered Accountant, of Dissolve Pty Limited has been appointed as the Liquidator for the purpose of such winding up of BAAPL.

A. Information on BAAPL

BAAPL was incorporated on 12 December 2011 under the Corporations Act 2001. The issued and paid-up capital of BAAPL is AUD$10 representing 10 ordinary shares.

B. Rationale for voluntary winding-up

BAAPL has been inactive since 2017 and the winding-up is in line with BAB’s streamlining exercise.

C. Effect of voluntary winding-up

The voluntary winding-up of BAAPL will not have a material financial and operational impact on Bumi Armada Group for the financial year ending 31 December 2020.

D. Directors and Major shareholder’s Interests

None of the Directors or Major Shareholders of BAB or persons connected to them have any interest, direct or indirect, in the dissolution of BAAPL.
