Reference is made to the Company’s announcement dated 24 September 2020 and subsequent announcements in relation to the Proposed Convertible Sukuk (“Announcements”). Unless otherwise defined, the definitions used in this announcement shall have the same meanings as those defined in the Announcements.

On behalf of the Board, HLIB wishes to announce that the subscription agreement has been executed on 23 December 2020 by Mah Sing as the Issuer and HLIB as the Lead Manager (“Subscription Agreement”). The final salient terms and conditions of the Proposed Convertible Sukuk are as attached.

The Subscription Agreement is available for inspection at Mah Sing’s registered office at Penthouse Suite 1, Wisma Mah Sing, No. 163, Jalan Sungai Besi, 57100 Kuala Lumpur during normal business hours from Monday to Friday (excluding public holidays) for a period of 3 months from the date of this announcement.

The Company has also, on 11 December 2020, made a lodgment in respect of the revision to the principal terms and conditions of the Programme for the Proposed Convertible Sukuk with the SC pursuant to the SC’s Guidelines on Unlisted Capital Markets Products under the Lodge and Launch Framework.
