We refer to the announcements dated 17 November 2020, 20 November 2020 and 24 December 2020 in relation to the Proposed Private Placement (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of DGB, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 30 December 2020, resolved to approve the listing of and quotation for up to 109,137,400 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:

(i) DGB and TA Securities must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Private Placement;

(ii) DGB and TA Securities to inform Bursa Securities upon the completion of the Proposed Private Placement;

(iii) TA Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and

(iv) DGB to furnish Bursa Securities with a certified true copy of the resolution passed pursuant to Sections 75 and 76 of the Companies Act 2016, in the event the existing authority has expired prior to the full implementation of the Proposed Private Placement.
