Pursuant to the reorganisation of Nestlé S.A.'s investment in Nestlé (Malaysia) Berhad, Nestlé S.A. has transferred its entire equity interest in Nestlé (Malaysia) Berhad to its wholly-owned subsidiary namely Société des Produits Nestlé S.A.. The aim of this exercise is to simplify the Group's legal organisation. It will align and combine the legal and economic ownership of the key value creation assets (IP and worldwide affiliations) within the same legal entity, Société des Produits Nestlé S.A., to simplify understanding of the structures and roles, within and outside of the group. The reorganisation is merely to reorganise the interest of Nestlé S.A. in Nestlé (Malaysia) Berhad with no change in the ultimate holding company of Nestlé (Malaysia) Berhad. Société des Produits Nestlé S.A., had submitted an exemption application to the Securities Commission Malaysia under sub-paragraph 4.13(1)(c) of the Rules on Take-overs, Mergers and Compulsory Acquisitions, which was subsequently approved on 15 December 2020. |
