The Board of Directors of Carimin wishes to inform that Carimin intends to seek its shareholders' approval for the following proposals at the forthcoming Eleventh Annual General Meeting of the Company:-
(i) Proposed share buy-back of up to ten percent (10%) of the total number of issued shares of the Company ("Proposed Share Buy-Back Authority"); and (ii) Proposed amendments to the Constitution of the Company (“Proposed Amendments”).
The Proposed Amendments are mainly to streamline the Constitution with the relevant regulatory requirements as well as to enhance administrative efficiency.
A Statement to Shareholders containing the details of the Proposed Share Buy-Back Authority together with the Company’s Annual Report 2023 containing the details of the Proposed Amendments will be announced and published on the Company’s website in due course.
