The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Offer.

We refer to OSK Property's previous announcements in relation to the Offer.

The Board of Directors of OSK Property (“Board”) wishes to inform that the Company has today received a press notice from RHB Investment Bank Berhad, on behalf of the Offeror, informing that the Offer has closed at 5.00 p.m. (Malaysian time) on Friday, 9 October 2015 ("Closing Date") ("Press Notice").

In accordance with Section 26(1) of the Malaysian Code on Take-Overs and Mergers, 2010 ("Code"), the detailed disclosure on the level of acceptances of the Offer as at 5.00 p.m. (Malaysian time) on the Closing Date is set out in the Appendix of the Press Notice.

As previously announced on 28 September 2015, the Offeror intends to invoke the provisions of Section 222 of the Capital Markets and Services Act, 2007 ("CMSA") to compulsorily acquire any remaining Offer Shares for which valid acceptances have not been received ("Remaining Offer Shares").

Pursuant to Practice Note 32 of the Code, based on the level of acceptances and the number of voting shares of OSK Property as at 5.00 p.m. (Malaysian time) on the Closing Date, the Offeror is still eligible to invoke Section 222 of the CMSA and will, within the time frame prescribed by the CMSA, proceed to compulsorily acquire the Remaining Offer Shares.
