BONUS ISSUE OF UP TO 1,856,249,934 NEW ORDINARY SHARES IN G3 GLOBAL BERHAD ("G3 GLOBAL SHARES") ("BONUS SHARES"), ON THE BASIS OF 3 BONUS SHARES FOR EACH EXISTING G3 GLOBAL SHARE HELD ON 24 MARCH 2021
Kindly be advised of the following :
1) The above Company’s securities will be traded and quoted “[Ex-Bonus Issue]” as from: 23 Mar 2021
2) The last date of lodgment : 24 Mar 2021
3) Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
a) Selling Broker to deduct <3/4>, of Selling Price against the Selling Client
b) Buying Broker to deduct <75%>, of Purchase Price against the Buying Client
c) Between Broker and Broker, the deduction of <3/4>, of the Transacted Price is applicable.
Remarks 1:
"Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 24 March 2021 with bonus issue of G3 shares, any shareholder who is entitled to receive G3 bonus issue shares, may sell any or all of his G3 shares arising from the bonus issue beginning the Ex-Date (23 March 2021).
For example, if Mr X purchases 100 G3 shares on cum basis on 22 March 2021, Mr X should receive 100 shares on 24 March 2021. As a result of the bonus issue, an additional of 300 G3 shares will be credited into Mr X's CDS account on the night of 24 March 2021 being the Book Closing Date. Therefore, Mr X can sell a total of 400 shares on or after the Ex-Date ie from 23 March 2021 onwards."
Remarks 2:
The Board of Directors of G3 Global Berhad has resolved (by majority decision) to fix the entitlement date of the Bonus Issue on 24 March 2021 ("Entitlement Date").
Approval from Bursa Malaysia Securities Berhad for the Bonus Issue was obtained on 8 January 2021. Shareholders approval for the Bonus Issue was obtained on 5 February 2021. The Bonus Shares will be listed and quoted simultaneously with the Additional Warrants on 25 March 2021, being the next market day after the Entitlement Date.
The Share Registrar of G3 Global Berhad will issue and despatch notice of allotment to all entitled shareholders of G3 Global Berhad within 4 markets days after the date of listing of and quotation for the Bonus Shares on the Main Market of Bursa Malaysia Securities Berhad. The warrantholders must exercise their respective outstanding Warrants and lodge their duly completed and signed exercise form with the exercise monies with the Share Registrar by 5.00 p.m. on 15 March 2021 in order to be entitled to the Bonus Issue.
