Two Seacera directors resign following suit by shareholder

KUALA LUMPUR (Dec 26): Two Seacera Group Bhd directors have resigned in the wake of a legal suit launched against the tile manufacturer by a shareholder.

The resignations of independent and non-executive directors Rozaidi Baharuddin and Halim @ Ab Halim Ismail were reported by the group in separate filings with Bursa Malaysia today.

Rozaidi is also vacating his position as a member of Seacera’s nomination committee.

Rozaidi was nominated by non-executive director Ishak Ismail and 54.06% of those with voting rights at the group’s annual general meeting (AGM) on Nov 29, 2019, had voted in favour of his appointment.

Halim was also appointed to the group’s board on Nov 29.

The lawsuit filed by shareholder Yap Suet Heng on Dec 11, names Seacera and all members of its board as defendants.

Specifically, Yap said the rejection of his proxy at the group’s AGM on Nov 29 was wrongful and invalid.

Consequently, he is petitioning the court to issue an order that says all proceedings and resolutions passed at the AGM are invalid. 

Should the court deem fit, Yap is also petitioning for Seacera to convene a fresh AGM and placing an interim board and caretaker board of directors, pending the new AGM.

On Dec 23, independent and non-executive director Ling Chi Hoong — who is also named in the suit — resigned from his position in the group’s board but said it was for personal reasons.
