| The Record of Depositors of TMC Life Sciences Berhad ("TMC") shall be closed on 11 November 2008 for the purpose of determining the shareholders' entitlement to the following:- (a) Renounceable rights issue of 185,163,000 new ordinary shares of RM0.10 each in TMC ("Rights Shares") at an issue price of RM0.20 per Rights Share on the basis of one (1) Rights Share for every one (1) existing ordinary share of RM0.10 each ("TMC Share") held by the entitled shareholders of TMC at 5.00 p.m. on the entitlement date ("Rights Issue"); and (b) Bonus issue of 231,453,750 new TMC Shares ("Bonus Shares") credited as fully paid-up on the basis of five (5) Bonus Shares for every four (4) Rights Shares subscribed by the entitled shareholders of TMC and/or their renouncee(s) (if applicable) pursuant to the Rights Issue ("Bonus Issue"). The underwriting agreement for the abovementioned Rights Issue has been entered into on 28 October 2008 for the underwriting of the remaining open portion of 93,009,691 Rights Shares (for which no undertaking to subscribe had been given by any shareholder of TMC), representing approximately 50.23% of the total 185,163,000 Rights Shares to be issued pursuant to the Rights Issue at an issue price of RM0.20 per Rights Share. Notes:- No books closure is necessary for the purpose of the Bonus Issue as the Bonus Shares will be allotted and issued only to the entitled shareholders and/or renouncee(s) and/or the underwriters (as the case may be) who have successfully subscribed for and have been allotted the Rights Shares. Entitled shareholders who renounce their entitlements to the Rights Shares provisionally allotted to them under the Rights Issue will simultaneously relinquish their entitlements to the Bonus Shares to be issued pursuant to the Bonus Issue to the renouncee(s) accordingly. The Abridged Prospectus and the accompanying notice of provisional allotment and the rights subscription form (collectively referred to as the "Forms") will be despatched to the entitled shareholders of TMC not later than three (3) market days after the entitlement date. The Abridged Prospectus and the accompanying Forms are not intended to be issued, circulated or distributed in countries or jurisdictions other than Malaysia. Shareholders of TMC residing in countries or jurisdictions other than Malaysia should therefore immediately consult their legal advisers as to whether the acceptance or renunciation of their entitlements to the Rights Issue and Bonus Issue would result in the contravention of any laws of such countries or jurisdictions. Foreign shareholders are advised to provide an address in Malaysia to the Share Registrar for service of the Abridged Prospectus and the accompanying Forms (prior to the entitlement date) or collect the Abridged Prospectus and the accompanying Forms from the Share Registrar.
