We refer to the earlier announcements in relation to the Distribution and Capital Repayment. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements.
The shareholders of RHB Capital whose names appear on the record of depositors of RHB Capital at the close of business at 5.00 p.m. on Monday, 6 June 2016 ("Entitlement Date"), shall be entitled to the Distribution and Capital Repayment ("Entitled Shareholders").
Based on RHB Capital's issued and paid-up share capital of RM3,074,674,722 comprising 3,074,674,722 RHB Capital Shares and RHB Capital's shareholding in RHB Bank of RM4,010,045,621 comprising 4,010,045,621 ordinary shares of RM1.00 each in RHB Bank ("RHB Bank Shares"), the Distribution and Capital Repayment will entail the distribution of RHB Capital's entire shareholding in RHB Bank to the Entitled Shareholders on the basis of approximately 1.3 RHB Bank Shares for every one (1) RHB Capital Share held as at the Entitlement Date.
The actual number of RHB Bank Shares which the Entitled Shareholders will receive under the Distribution and Capital Repayment will be calculated based on the following formula:-
[(Number of RHB Bank Shares held by RHB Capital / Number of RHB Capital Shares in issue) X Number of RHB Capital Shares held by the Entitled Shareholder as at the Entitlement Date].
Fractional entitlements of RHB Bank Shares arising from the Distribution and Capital Repayment (if any) shall be disregarded and the Board of Directors of RHB Capital has decided to allocate such fractional RHB Bank Shares to the Entitled Shareholders to minimise the incidence of odd lots on a best effort basis. For the avoidance of doubt, such fractional RHB Bank Shares, where available, will be allocated to Entitled Shareholders who are not substantial shareholders, starting from the next largest shareholder.
In order to facilitate the Distribution and Capital Repayment, the trading of RHB Capital Shares on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities") will be suspended with effect from 9.00 a.m. on Tuesday, 31 May 2016, being three (3) clear market days prior to the Entitlement Date. Accordingly, the last time and date for trading of RHB Capital Shares on the Main Market of Bursa Securities shall be at 5.00 p.m. on Monday, 30 May 2016.
A notice to the shareholders of RHB Capital in relation to the Entitlement Date for the Distribution and Capital Repayment will be despatched to the shareholders of RHB Capital on 23 May 2016.
