We refer to the announcements made on 21 September 2016, 22 September 2016, 10 November 2016, 9 June 2017, 14 June 2017, 12 July 2017, 20 July 2017, 27 July 2017 and 3 August 2017 ("Announcements") and the circular to the shareholders dated 19 June 2017 ("Circular") in relation to the Proposed Corporate Reorganisation. All abbreviations and definitions used herein shall carry the same meaning as those defined in the Announcements and Circular, except where the context otherwise requires or where otherwise defined herein.

The shareholders of AFG whose names appear on the Record of Depositors of AFG at the close of business at 5.00 p.m. on Friday, 15 September 2017 ("Entitlement Date"), shall be entitled to the AFG Capital Reduction and Repayment ("Entitled Shareholders").

AFG shall in conjunction with the Corporate Reorganisation and pursuant to the AFG Capital Reduction and Repayment, implement a capital repayment exercise involving the distribution-in-specie of AFG's entire shareholdings in ABMB to the Entitled Shareholders, whose names appear in the Record of Depositors of AFG on the Entitlement Date. 

AFG's issued share capital is RM1,548,105,929 comprising 1,548,105,929 AFG Shares, whilst ABMB's issued share capital is RM1,548,105,929 comprising 1,548,105,929 ABMB Shares. 

Pursuant to the AFG Capital Reduction and Repayment, all AFG's issued share capital will be cancelled and for every one (1) AFG Share cancelled, AFG's shareholders will be paid, in-specie, an ABMB Share (on a one-to-one basis). This will entail the distribution of AFG's entire shareholdings in ABMB on the basis of one (1) ABMB Share for every one (1) AFG Share held by the Entitled Shareholders and cancelled as at the Entitlement Date.

Upon completion of AFG Capital Reduction and Repayment, AFG will cease to be a shareholder of ABMB. Your percentage shareholdings in ABMB after the AFG Capital Reduction and Repayment shall remain the same as your percentage shareholdings in AFG on the Entitlement Date.

In order to facilitate the AFG Capital Reduction and Repayment, the trading of AFG Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Monday, 11 September 2017, being three (3) clear Market Days prior to the Entitlement Date. Accordingly, the last time and date for trading of AFG Shares on the Main Market of Bursa Securities shall be at 5.00 p.m. on Friday, 8 September 2017. 

A notice to the shareholders of AFG in relation to the Entitlement Date for the AFG Capital Reduction and Repayment will be despatched to the shareholders of AFG on 4 September 2017.
