| The warrants were issued for free to the warrant holders and/or its renouncee(s)/transferee(s) pursuant to the Acquisition. Each Warrant entitles the registered holder to subscribe for one (1) new ordinary share of RM0.10 each in NCB at any time during the period commencing on and including the Issue Date and ending at 5.00 p.m. in Malaysia on the Maturity Date (“Exercise Period”) at the Exercise Price which shall be subject to the adjustments under certain circumstance in accordance with the provisions of the Deed Poll dated 22 July 2013 constituting the Warrants during the Exercise Period. Any Warrants not exercised during the Exercise Period will thereafter lapse and cease to be valid for any purpose. |
