Bumi Armada Berhad ("BAB") wishes to announce that its indirect wholly owned subsidiary, Bumi Armada (Labuan) Ltd. ("BALL") has approved a Special Resolution via Members Resolution in Writing dated Monday, 11 May 2026 for BALL to be voluntarily wound-up by way of a Members' Voluntary Winding-Up pursuant to the provision of Section 131(1) of the Labuan Companies Act, 1990 applying Section 439(1)(b) of the Companies Act, 2016. Mr Tan Chin Fah of KBCF Tan PLT has been appointed as the Liquidator of BALL for the purpose of the Members' Voluntary Winding-Up.
A. Information on BALL
BALL was incorporated on 10 August 2007 and is an indirect wholly owned subsidiary of BAB. The issued and paid-up capital of BALL is USD1.00 representing 1 ordinary share. BALL ceased operations in 2024 and has remained dormant ever since.
B. Rationale for voluntary winding-up
BALL is dormant and the winding up is in line with BAB's streamlining exercise.
C. Effect of voluntary winding-up
Upon completion of the voluntary winding-up of BALL, a foreign exchange reserve gain amounting to approximately RM23 million is expected to be realised to the profit or loss. This represents a non-cash gain attributable to the net investment in BALL. The voluntary winding-up of BALL will not have any material operational impact on BAB Group for the financial year ending 31 December 2026.
D. Directors and Major Shareholder's Interests
None of the Directors or major shareholders of BAB or persons connected to them have any interest, direct or indirect, in the voluntary winding-up of BALL.
