The Board of Directors of GMUTUAL ("Board') wishes to announce that the Company had on 17 October 2019 received a notice in writing dated 16 October 2019 (“Resignation Notice”) from Messrs Deloitte PLT (“the Auditors”) of their resignation as Auditors of the Company.  Pursuant to Section 281(2) of the Companies Act 2016 (“CA 2016”), the Auditor’s term of office will end after 21 days from 16 October 2019.

The reason for resignation of Messrs Deloitte PLT as Auditors of GMUTUAL was in view of the disagreement of audit fees following the notice of increase of the fees for the financial year ended 31 December 2019 by Messrs Deloitte PLT as per their letter dated 2 October 2019.

Save for the above, the Board of Directors of GMUTUAL confirms that GMUTUAL is not aware of any other matters that should be brought to the attention of the shareholders of the Company. GMUTUAL is in the midst of identifying new auditors to be appointed pursuant to Section 271(2)(b) of the CA 2016 subject to the following:-

1. The resigning auditors’ end of term of office which is 21 days from 16 October 2019 pursuant to Section 281(2) of the CA 2016; and
2. GMUTUAL receiving the letter of consent to act from the new auditors of the Company pursuant to Section 264(5) of the CA 2016.

Further announcement will be made by the Company in due course once the appointment of new auditor is finalized by the Company.
