The Board of Directors of JKG wishes to announce that the Company had on 10 August 2018 entered into a Share Purchase Agreement (“SPA”) with Paragon Globe Berhad (Company No. 1713-A) [“Vendor”] for the proposed acquisition of 2 ordinary shares, representing 100% of the issued and paid-up share capital in Modern Plus Sdn Bhd (Company No. 687782-V) [“MPSB] for a total cash consideration of RM2.00 only (“Proposed Acquisition”) subject to the terms and conditions of the SPA. The details of the Proposed Acquisition are as described in the attachment below. |
