ISSUANCE OF 68,889,075 FREE DETACHABLE WARRANTS IN MITRAJAYA HOLDINGS BERHAD ("MHB") ("WARRANTS E") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF 137,778,282 NEW ORDINARY SHARES IN MHB ("MHB SHARE(S)" OR "SHARE(S)") ("RIGHTS SHARE(S)") AT AN ISSUE PRICE OF RM0.59 PER RIGHTS SHARE, ON THE BASIS OF ONE (1) RIGHTS SHARE FOR EVERY FIVE (5) EXISTING MHB SHARES HELD AS AT 5.00 P.M. ON 26 MARCH 2018, TOGETHER WITH 68,889,075 WARRANTS E AND AN ATTACHED BONUS ISSUE OF 68,889,075 NEW MHB SHARES ("BONUS SHARE(S)") ON THE BASIS OF ONE (1) WARRANT E AND ONE (1) BONUS SHARE FOR EVERY TWO (2) RIGHTS SHARES SUBSCRIBED ("RIGHTS ISSUE")
Each Warrant E entitles the registered Warrant E holder, at any time during the exercise period, to subscribe for one (1) new MHB Share at the exercise price of RM0.94 for each Warrant E to be satisfied in cash, subject to the provisions of the deed poll dated 12 March 2018 constituting the Warrants E. The Warrants E shall be exercisable into new MHB Shares on any market day within the period commencing on, and inclusive of, 18 April 2018 up to and including the date immediately preceding the fifth (5th) anniversary of the Warrants E issue date. Any Warrants which are not exercised during the exercise period will thereafter lapse and cease to be valid.
