Pursuant to Paragraph 10.09 of the Bursa Malaysia Securities Berhad (“Bursa Securities”) Main Market Listing Requirements (“Listing Requirements”), the Company had at its 34th Annual General Meeting (“AGM”) held on 9 May 2019 obtained shareholders’ approval to renew the Shareholders’ Mandate for the Company and its subsidiaries to enter into recurrent related party transactions of a revenue or trading nature (“Shareholders’ Mandate”).

The Shareholders’ Mandate shall, in accordance with the relevant provisions of the Listing Requirements, lapse at the conclusion of the Company’s forthcoming AGM unless authority for its renewal is obtained from the shareholders of the Company at the AGM.

With reference to the above, the Board of Directors of STMKB wishes to announce that the Company intends to seek the approval of its shareholders for the Proposed Shareholders’ Mandate at the forthcoming AGM. The estimated aggregate value of the Recurrent Related Party Transactions (from the date of last AGM on 9 May 2019 to 30 April 2020) as disclosed in the Circular to Shareholders dated 10 April 2019 was RM2.822 million while the actual transaction value from the date of last AGM on 9 May 2019 to 23 January 2020 was RM1.982 million. The actual transaction value for the year ended 31 December 2019 was RM2.791 million.

A circular containing the information on the Proposed Shareholders’ Mandate will be sent to the shareholders of STMKB in due course.
