We refer to the announcements dated 8 October 2018, 18 October 2018, 22 November 2018, 26 February 2019, 3 April 2019, 23 May 2019, 29 August 2019, 21 October 2019, 22 November 2019, 13 January 2020, 15 January 2020, 16 January 2020, 17 January 2020, 20 January 2020, 21 January 2020 and 22 January 2020 in relation to the Company’s non-compliance with the public shareholding spread requirement pursuant to Paragraph 8.02(1) of the Listing Requirements of Bursa Securities, as well as announcement dated 13 January 2020 in relation to the unconditional voluntary take-over offer by Hong Leong Investment Bank Berhad on behalf of Dalta Industries Sdn Bhd ("Offeror"), to acquire all the remaining ordinary shares (excluding treasury shares) in Amverton not already held by the Offeror and Tan Sri Dato’ lr. Ng Boon Thong @ Ng Thian Hock (“Ultimate Offeror”) for a cash consideration of RM1.20 per Amverton Share (“Offer”).

Pursuant to the Offer thus far, we wish to inform that the public shareholding spread of Amverton as at 23 January 2020 is 12.21%, and as such Amverton continues to be deemed not in compliance with the public shareholding spread requirement.
