The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements dated 10 February 2020 and 14 February 2020 in relation to the Proposed Private Placement.

We refer to the earlier announcements dated 10 February 2020 and 14 February 2020 in relation to the Proposed Private Placement.

On behalf of the Board of Directors of T7, UOB Kay Hian wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 19 February 2020, resolved to approve the listing and quotation of up to 55,173,696 Placement Shares to be issued pursuant to the Proposed Private Placement, subject to the following conditions:-

i.   T7 and UOB Kay Hian must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposed Private Placement;

ii.  T7 and UOB Kay Hian to inform Bursa Securities upon the completion of the Proposed Private Placement;

iii.  T7 to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement is completed;

iv. T7 to furnish Bursa Securities with details of the placees in accordance with Paragraph 6.15 of the Listing Requirements as soon as practicable before the listing of the new shares to be issued pursuant to the Proposed Private Placement; and

v.  In the event the Proposed Private Placement is not completed before the next Annual General Meeting, T7 to furnish a certified true copy of the resolution passed by T7's shareholders for a general mandate under Sections 75 & 76 of the Companies Act, 2016 at T7 forthcoming Annual General Meeting.
