We refer to the notice of conditional voluntary take-over offer dated 12 February 2020 (“Notice”) and the announcement dated 12 February 2020 in relation to the Proposals (“Announcement”). Unless otherwise defined, the definitions set out in the Notice and the Announcement shall apply herein.

On behalf of the Board, TA Securities wishes to announce that the SC had vide its letter dated 24 February 2020, granted an extension of time for the following:

(i)            to dispatch the Offer Document within 2 market days from:

(a)           Bursa Securities’ clearance of TAE’s circular to shareholders; or

(b)           the SC’s notification that it has no further comments to the Offer Document,

whichever is later, but in any event no later than 90 days from the date of the Notice, being 12 May 2020; and

(ii)           to submit the draft independent advice circular (“IAC”) to the SC for comment within 1 market day from:

(a)           Bursa Securities’ clearance of TAE’s circular to shareholders; or

(b)           the SC’s notification that it has no further comments to the Offer Document,

whichever is later, but in any event no later than 86 days from the date of the Notice, being 8 May 2020. The dispatch of the IAC shall be within 10 days from the dispatch of the Offer Document as provided under subparagraph 11.04(1) of the Rules.
