Reference is made to the Company’s announcements dated 5 January 2017 and 25 January 2017 (“Announcements”) in relation to a Shareholders’ Agreement entered into between EOGS and ICON dated 5 January 2017. Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

ENRA wishes to announce that EOGS had, on 28 February 2020, entered into a Deed of Termination with ICON to mutually rescind and terminate the said Shareholders’ Agreement dated 5 January 2017 (“Termination”). As part of the Termination, EOGS shall acquire the balance 30,000 ordinary shares, equivalent to 30% equity interest, in ENRA ICON Sdn Bhd (“EICON”) from ICON for a total cash consideration of RM20,600.

Subsequent to the execution of the Deed of Termination, EOGS made full payment for the said 30% equity interest in EICON. The Termination has been completed on even date and EICON is now a wholly-owned subsidiary of ENRA.
