With reference to the announcement made by the Board of Directors of JHB (the “Board”) on 20 March 2020 in respect of the Notice of Postponed EGM of the Company to be held at George Kent Technology Centre, 1115, Jalan Puchong, Taman Meranti Jaya, 47120 Puchong, Selangor Darul Ehsan on Wednesday, 15 April 2020 at 10:00 a.m.

The purpose of the EGM is to obtain shareholders’ approval to the Ordinary Resolution, as set out in the Notice of Postponed EGM dated 20 March 2020, for the proposed disposal by Prestige Ceramics Sdn Bhd, a wholly-owned subsidiary of the Company, of a piece of vacant freehold land measuring approximately 112,396 sq.m to Aspect Potential Sdn Bhd, for a total consideration of RM127 million (“Proposed Disposal”). The relevant information pertaining to the Proposed Disposal were disclosed in the Circular dated 10 March 2020, which was despatched to all shareholders on even date.

In respect to the lodgement of Proxy Form by a shareholder of JHB to attend and vote on his/ her behalf at the Postponed EGM, the Company wishes to inform that shareholder(s) who is/ are unable to physically lodge the Proxy Form with the Company, can email the duly executed Proxy Form within the Prescribed Date & Time (as defined herein) to the Company Secretaries via the following emails:

The Board wishes to reiterate that the last date and time for lodging the Proxy Form is on Monday, 13 April 2020 at 10:00 a.m (“Prescribed Date & Time”).
