We refer to the announcements made on 21 May 2020 and 29 May 2020 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of TFP, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 3 July 2020, approved the following:

(i) admission to the Official List of Bursa Securities and the initial listing and quotation of up to 268,754,045 Warrants to be issued pursuant to the Proposed Rights Issue;

(ii) listing of:

     (a) up to 62,020,100 Placement Shares to be issued pursuant to the Proposed Private Placement;

     (b) up to 268,754,045 Rights Shares to be issued pursuant to the Proposed Rights Issue; and

     (c) up to 268,754,045 new TFP Shares to be issued pursuant to the exercise of the Warrants.

The approval by Bursa Securities for the above is subject to the following conditions:

(i) TFP and TA Securities must fully comply with the relevant provisions under the ACE Market Listing Requirements (“LR”) pertaining to the implementation of the Proposals;

(ii) TFP and TA Securities to inform Bursa Securities upon the completion of the Proposals;

(iii) TFP to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed; and

(iv) TFP to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of the Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
