INTRODUCTION

Bintulu Port Holdings Berhad (“BPHB”) wishes to announce that on 7 July 2020, BPHB has signed a Memorandum of Understanding (“MoU”) with Agensi Inovasi Malaysia (“AIM”), Regal Lands Sdn. Bhd. (“RLSB”)  and PT Pelabuhan Rotterdam Indonesia (“PoR”) (herein after known as the “Parties”) to establish a basis of co-operation and collaboration between the Parties and to allow the Parties to study on the development of the Biohub Industrial Port in Sarawak(“the Biohub Project”) at Bintulu.

INFORMATION ON THE “PARTIES”

BINTULU PORT HOLDINGS BERHAD (“BPHB”) (Company No. 199601008454 (380802-T), (a company incorporated and registered under the Malaysian Companies Act) and having its address at Lot 15, Block 20, Kemena Land District, 12th Mile Tanjung Kidurong Road, 97008 Bintulu, Sarawak, Malaysia;

AGENSI INOVASI MALAYSIA (“AIM”) a statutory body incorporated under the Agensi Inovasi Malaysia Act 2010 (Act No. 718) organised and existing under the laws of Malaysia with operational address in 3501 Level 3 Quill Building 3, Jalan Teknokrat 5, 63000 Cyberjaya, Selangor, Malaysia;

REGAL LANDS SDN. BHD. (“RLSB”) (Company No. (956620-W)), (a company incorporated and registered under the Malaysian Companies Act), with its operational address at 1st Floor, S/L 24, Lot 672, Block 14, Muara Tuang Land District, Kuching/Samarahan Expressway, 94300 Kota Samarahan, Sarawak, Malaysia;

PT PELABUHAN ROTTERDAM INDONESIA (“PoR”), a subsidiary company of Havenbedrijf Rotterdam N.V., a public limited company according to Dutch law with offices in Rotterdam, the Netherlands, Sao Paolo, Brazil and Jakarta, Indonesia, address in Jl. H.R. Rasuna Said Kav. S-3, Jakarta 12950, Indonesia; and

AIM, RLSB, PoR and BPHB individually shall be referred to as “Party” and collectively referred to as “Parties”.

AGENSI INOVASI MALAYSIA (AIM)

AIM is a statutory body set up by the Government of Malaysia, under the purview of Ministry of Science, Technology and Innovation (MOSTI) with the primary purpose of being the driving force behind Malaysia’s push towards establishing an “innovation economy” and its aspirations of achieving a high-income nation status. This collaboration stems on the work done by National Biomass Strategy (NBS) Delivery Unit, an initiative under the Agency. AIM is the lead agency for biomass related initiatives with the intention to develop new portfolio of biomass based industrial ecosystem that will create sustainable economic and lasting social impact. Port of Rotterdam (PoR)

The Port of Rotterdam has joint ventures in the port of Sohar, in Oman and in Pecém, in Brazil, and a regional office in Jakarta, Indonesia. By acting on the international maritime stage, the Port of Rotterdam Authority is creating economic and social value in the countries present and for the Netherlands, the Rotterdam-Rijnmond region.  SALIENT TERMS OF THE MOU

1. PoR, RLSB and AIM will conduct opportunity analysis on both Samalaju Port and Bintulu Port as to the suitable location for the development of the Biohub Project with the cooperation from BPHB;
2. BPHB will provide the necessary information needed to complete the study and operation modelling for the Bioport and Biohub areas;
3. The scope and cost of the study under this MoU shall be in accordance with the arrangement between RLSB and PoR. 
4. This MoU shall be valid for a period of one (1) year from the date of execution. Extension or amendment of this MoU can be made through the mutual consent of all Parties in compliance with the mutual agreed terms by providing written notice at least thirty (30) days prior to the expiration of this MoU.

RATIONALE OF THE MOU

The cooperation considers the development of a Biohub Industrial Port and Industrial Estate in Sarawak, Malaysia. In first instance the project will focus on studying the suitable location for the development of the Biohub project in close cooperation with Bintulu Port Holdings Berhad.

FINANCIAL EFFECTS OF THE MoU

It is understood that the cooperation under this MoU is in no way imperative or have any limiting or legal binding character. The costs involved in any of the above activities under this MoU will be agreed in advance by the Parties on a case-by-case basis otherwise each Party shall bear its own costs incurred in relation to activities by the said Party pursuant to this MoU.

STATEMENT BY THE “PARTIES”

The “Parties” of the Company, having taken into consideration all aspects of the MoU, is of the opinion that the MoU is in the best interest of the Company and its subsidiaries.

APPROVALS REQUIRED

The MoU has been approved by the Board of Directors of the Bintulu Port Holdings Berhad on 29 June 2020.

DOCUMENTS AVAILABLE FOR INSPECTION

The MoU will be made available for inspection at the registered office of the Company at BINTULU PORT HOLDINGS BERHAD, 12th Miles, Tg Kidurong Road, P.O.Box 996, 97008 Bintulu, Sarawak, Malaysia during normal office hours on Mondays to Fridays (except for public holidays) for a period of three (3) months from the date of this announcement.
