Unless otherwise redefined, the definitions set out in the earlier announcements in relation to the Proposals shall apply in this announcement.

Further to the announcements dated 22 June 2020 in relation to the Proposals, on behalf of the Board, M&A Securities Sdn Bhd wishes to announce that the Bursa Securities had, vide its letter dated 9 July 2020, resolved to approve the following:

1. Listing of and quotation of 19,860,944 Rights Shares to be issued pursuant to the Proposed Rights Issue; and
2. Listing of and quotation of 9,930,472 Bonus Shares to be issued pursuant to the Proposed Bonus Issue.

The approval by Bursa Securities is subject to the following conditions:

1. Perstima and M&A Securities must fully comply with the relevant provisions under the Main Market Listing Requirements at all times pertaining to the implementation of the Proposals;
2. Perstima and M&A Securities to inform Bursa Securities upon the completion of the Proposals;
3. Perstima to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed;
4. Perstima to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders at extraordinary general meeting for the Proposals; and
5. Perstima and M&A Securities are required to make the relevant announcements pursuant to Paragraph 6.35(2)(a) & (b) and 6.35(5)  of the Main  Market Listing Requirements.
