(Unless stated otherwise, all abbreviations used herein shall have the same meaning as those mentioned in the Company's announcements dated 16 June 2020, 30 June 2020 and 2 July 2020.)

Reference is made to the announcements dated 16 June 2020, 30 June 2020 and 2 July 2020 made by MIDF Amanah Investment Bank Berhad (“MIDF Investment”) on behalf of the Board of Directors of Eversendai (“Board”) in relation to the Proposals.

On behalf of the Board, MIDF Investment is pleased to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has, via its letter dated 7 August 2020, resolved to approved the following:

(I) admission to the Official List of the Main Market of Bursa Securities and listing of and quotation for up to 390,550,000 new Warrants to be issued pursuant to the Proposed Free Warrants;

(II) listing of and quotation for up to 390,550,000 new ordinary shares in Eversendai (“Eversendai Shares”) to be issued arising from the exercise of the Warrants; and

(III) listing of and quotation for up to 385,245,901 new Eversendai Shares to be issued arising from the conversion of the RCPS pursuant to the Proposed Acquisition.

The approval by Bursa Securities is subject to the following conditions:

(I) Eversendai and MIDF Investment must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“MMLR”) pertaining to the implementation of the Proposals;

(II) Eversendai and MIDF Investment must ensure that the issuance of securities pertaining to the Proposals will not aggravate the non-compliance of the public shareholding spread of Eversendai, and will not result in subsequent non-compliance of the public shareholding spread upon the rectification of the current non-compliance;

(III) Eversendai and MIDF Investment to inform Bursa Securities upon the completion of the Proposed Free Warrants and Proposed Acquisition;

(IV) Eversendai and MIDF Investment to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Free Warrants and Proposed Acquisition are completed;

(V) Eversendai to furnish Bursa Securities on a quarterly basis a summary of the total number of Eversendai Shares listed pursuant to the exercise of Warrants and conversion of RCPS as at the end of each quarter together with a detailed computation of the listing fees payable; and

(VI) Eversendai or MIDF Investment to furnish Bursa Securities with a letter of compliance in relation to the new Constitution of Eversendai pursuant to Paragraph 2.12 of the MMLR together with a copy of the duly executed Constitution.
