(Reference is made to RTB’s announcement dated 21 June 2019 and 24 June 2019 (“Announcements”) in relation to the proposed sale and purchase of shares of GTC by RTB. Unless otherwise stated, all abbreviations and definition used herein shall have the same meanings as those used in the Announcements.)
As at the date of this announcement, the status of the Conditions Precedent as referred to in the SSPA has yet to be fully satisfied by the Sellers within three (3) months from the date of the SSPA or such other date as may be agreed between the parties (“Long Stop Date”).
The Board wishes to announce that RTB and the Sellers had on 24 September 2019 mutually agreed to grant an extension of time until 21 December 2019 to enable the Sellers to fulfill all the obligations in relation to the Conditions Precedent. Parties also agreed that that the Long Stop Date is now defined to be on 21 December 2019
