We refer to the Company’s Information Memorandum dated 18 July 2018.

As disclosed in Section 10.2(i) of the Information Memorandum, MyKRIS Asia Sdn Bhd (“MyKRIS Asia”), a wholly-owned subsidiary of MyKRIS, had entered into a shareholders’ agreement dated 31 May 2016, which entails the subscription of 40% in HTCL by MyKRIS Asia for an investment sum of USD200,000 (“Shareholders’ Agreement”). The parties to the Shareholders’ Agreement had thereafter, on 28 February 2020, mutually agreed to amend the par value of the ordinary shares of HTCL from USD1 to USD10 each (“HTCL Share(s)”).  

The Board of MyKRIS wishes to announce that MyKRIS Asia has completed the subscription of 20,000 HTCL Shares for an investment sum of USD200,000 on 9 September 2020. Following the completion of the Subscription, HTCL is now a 40%-owned associate company of MyKRIS Asia.
