MEMORANDUM OF AGREEMENT ("MOA")

We refer to your Company’s announcement dated 2 September 2020 in respect of the aforesaid matter.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

1) The date of incorporation and the number of  issued shares of Kibaru.

2) The names of the Vendors.

3) The names of Kibaru’s directors and substantial shareholders together with their respective direct and/or indirect shareholdings.

4) Definition of LIM's products.

5) The date Kibaru commenced its operation of manufacturing of rubber and plastic medical products, LIM’s product, extrusion tubbing plastic injection and assembly of medical devices and parts (“Products”).

6) To state examples of the rubber and plastic medical products and the medical devices manufactured by Kibaru.

7) The markets for the Products.

8) The impact of the Proposed Acquisition on profitability of MQTECH.

9) Whether the Proposed Acquisition is subject to shareholders’ and relevant government authorities’ approval.

10) The sources of funds to MQTECH for the Proposed Acquisition, and the breakdown thereof.

11) The risks and prospects of the Proposed Acquisition.

12) The purchase consideration/estimated purchase consideration for Kibaru and the basis thereof.

Please furnish Bursa Securities with your reply within one (1) market day from the date hereof.
