The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

Reference is made to the earlier announcements by UOBKH on behalf of the Board on 3 July 2020, 24 July 2020, 21 August 2020 and 26 August 2020 in relation to the Proposals.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 13 October 2020, resolved to approve the following:-

i.          Admission to the Official List and the initial listing and quotation of up to 122,264,591 Warrants B to be issued pursuant to the Proposed Rights Issue with Warrants;

ii.          Listing of up to 16,338,656 additional Warrants A arising from the adjustments in accordance with provisions of the Deed Poll for Warrants A, pursuant to the Proposed Rights Issue with Warrants ("Additional Warrants A");

iii.         Listing of up to 122,264,591 Rights Shares to be issued pursuant to the Proposed Rights Issue with Warrants;

iv.         Listing of up to 122,264,591 new OCK Shares to be issued pursuant to the exercise of Warrants B;

v.         Listing of up to 16,338,656 new OCK Shares to be issued pursuant to the exercise of Additional Warrants A; and

vi.         Listing of such number of additional new OCK Shares representing up to 15% of the total number of issued shares (excluding treasury shares, if any) of OCK to be issued pursuant to the exercise of options under the Proposed ESOS.

The approval granted by Bursa Securities for the Proposals is subject to the following conditions:-

i.          OCK and UOBKH must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Rights Issue with Warrants;

ii.          OCK and UOBKH to inform Bursa Securities upon the completion of the Proposed Rights Issue with Warrants;

iii.         OCK to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Rights Issue with Warrants is completed;

iv.         OCK to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants B as at the end of each quarter together with a detailed computation of listing fees payable;

v.         UOBKH is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESOS pursuant to Paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation together with a certified true copy of the resolution passed by the shareholders in general meeting; and

vi.         OCK is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the Proposed ESOS as at the end of each quarter together with a detailed computation of listing fees payable.
