JAKS - Notice of Rights Entitlement (Ratio)

RENOUNCEABLE RIGHTS ISSUE OF UP TO 1,292,073,304 NEW ORDINARY SHARES IN JAKS RESOURCES BERHAD ("JRB" OR THE "COMPANY") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.22 PER RIGHTS SHARE TOGETHER WITH UP TO 646,036,652 FREE DETACHABLE WARRANTS IN JRB ("WARRANTS") ON THE BASIS OF 8 RIGHTS SHARES TOGETHER WITH 4 WARRANTS FOR EVERY 5 EXISTING ORDINARY SHARES IN JRB HELD AS AT 5.00 P.M. ON TUESDAY, 27 OCTOBER 2020 ("RIGHTS ISSUE WITH WARRANTS")
 

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted“Ex-Rights Issue”  as from: 26 Oct 2020
2)    The last date of lodgment : 27 Oct 2020
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
       a)    Selling Broker to deduct <8/13>, of Selling Price against the Selling Client
       b)    Buying Broker to deduct <10%>, of Purchase Price against the Buying Client
       c)    Between Broker and Broker, the deduction of <8/13>, of the Transacted Price is applicable.

Remarks :
The abridged prospectus, together with the Notice of Provisional Allotment and the Rights Subscription Form relating to the Rights Issue with Warrants (collectively referred to as the "Documents") will only be despatched to the shareholders of the Company whose names appear in the Company's Record of Depositors as at 5.00 p.m. on Tuesday, 27 October 2020 ("Entitlement Date") ("Entitled Shareholders") at their registered address in Malaysia or who have provided the Share Registrar with an address in Malaysia in writing by 5.00 p.m. on the Entitlement Date. Entitled Shareholders who do not have a registered address in Malaysia and wish to provide their Malaysian address, should inform their respective stockbrokers or Tricor Investor & Issuing House Services Sdn Bhd to effect the change of address by the Entitlement Date.

The Documents are not intended to be (and will not be) issued, circulated, distributed in any countries or jurisdictions other than Malaysia. No action has or will be taken to ensure that the Rights Issue with Warrants and the Documents comply with the law of any countries or jurisdictions other than the laws of Malaysia.

Holders of outstanding warrants 2018/2023 in JRB ("Warrants B") ("Warrants B Holders") who wish to be entitled to the Rights Shares with Warrants should exercise their rights to subscribe for new JRB Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, Tricor Investor & Issuing House Services Sdn Bhd, on or before 5.00 p.m. on 16 October 2020. This is to enable the new JRB Shares arising from such exercise to be allotted to the respective Warrants B Holders such that their names will appear in the Company's Record of Depositors as at 5.00 p.m. on the Entitlement Date.
