The Board of Directors of Melati Ehsan Holdings Berhad (the “MEHB” or “The Company”) wishes to announce that on 19 October 2020, the Company had incorporated a wholly owned subsidiary, BAYU SETIA SDN. BHD. (Registration No. 202001033393 (1389714-D)) (“Bayu Setia”) in Malaysia. The issued capital of Bayu Setia is RM1 million divided into 1 million ordinary shares.

The intended principal activities of Bayu Setia is investment holdings and property development.  

The incorporation of Bayu Setia will not have any material effect on the Melati Group’s earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding for the financial year ending 31 August 2021.

The Board of Directors of MEHB is not aware of any risk factors arising from the incorporation.

None of the Directors and/or major shareholders of the Company and/or persons connected with them have any interest, direct or indirect, in the incorporation.

Having considered all aspects of the incorporation, the Board of Directors of MEHB is of the opinion that the incorporation is in the best interest of the Company.
