(For consistency purposes, the abbreviations and definitions used throughout this announcement shall have the same meanings as those previously defined in the announcement dated 16 October 2020 in relation to the Private Placement, where applicable, unless stated otherwise or defined herein.)

We refer to the earlier announcement in relation to the Private Placement dated 16 October 2020.

On behalf of the Board, Mercury Securities wishes to announce that Bursa Securities had, vide its letter dated 21 October 2020, approved the listing and quotation of up to 85,629,000 Placement Shares to be issued pursuant to the Private Placement.

The approval by Bursa Securities for the above is subject to the following conditions:-

(i)         AEM and Mercury Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Private Placement;

(ii)        Mercury Securities to furnish Bursa Securities with details of the placees as per Paragraph 6.15 of the Listing Requirements for review, prior to the issuance/allotment of the Placement Shares;

(iii)        Mercury Securities to inform Bursa Securities upon the completion of the Private Placement;

(iv)       Mercury Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Private Placement is completed; and

(v)        Payment of outstanding additional listing fee based on the market value of the Placement Shares to be listed, if applicable. In this respect, the Company is required to furnish Bursa Securities a cheque drawn to the order of Bursa Malaysia Securities Berhad for the outstanding listing fee together with a copy of the details of the computation of the amount of fees payable.
