We refer to Leweko’s previous announcements and the circular to shareholders dated 20 October 2020 in relation to the Rights Issue (“Circular”). Unless otherwise stated, the terms used herein shall have the same meaning as defined in the Circular.

On behalf of the Board, UOBKH wishes to announce that the Board had on even date resolved to fix the following prices pursuant to the Rights Issue:-

1. the issue price of the Rights Shares at RM0.09 per Rights Share; and
2. the exercise price of the New Warrants at RM0.12 per New Warrant.

The issue price of RM0.09 per Rights Share represents a discount of RM0.05 or approximately 35.7% to the TERP of Leweko Shares of RM0.14, calculated based on the 5-day VWAP of Leweko Shares up to and including 17 November 2020, being the last trading day immediately preceding the price-fixing date of RM0.16 per Leweko Share.

The exercise price of RM0.12 per New Warrants represents a discount of RM0.02 or approximately 14.29% to the TERP of Leweko Shares of RM0.14, calculated based on the 5-day VWAP of Leweko Shares up to and including 17 November 2020, being the last trading day immediately preceding the price-fixing date of RM0.16 per Leweko Share.

Further, on behalf of the Board, UOBKH wishes to announce that Leweko had on even date:-

1. executed the Deed Poll constituting the New Warrants; and
2. entered into an underwriting agreement with UOBKH for the underwriting of 79,635,121 Rights Shares not subscribed by the Undertaking Shareholder, representing approximately 43.41% of the total Rights Shares to be issued pursuant to the Rights Issue.
