We refer to the Company’s announcements on public shareholding spread dated 3 January 2019, 9 January 2019, 17 January 2019, 25 February 2019, 25 April 2019, 3 June 2019, 6 August 2019, 25 October 2019, 15 November 2019 and 26 February 2020, 29 April 2020, 22 June 2020, 3 August 2020, 23 October 2020, 30 December 2020 and 12 January 2021

In addition to the announcement on public shareholding spread dated 12 January 2021, the Company wishes to announce the following:

(a)   Based on the Company’s Register of Depositors as at 31 December 2020, the public shareholding spread of the Company was at 20.95%. This percentage represents a shortfall of 4.05% from the Public Spread Requirement.

(b)   The Company had on 17 November 2020 announced that the Board of Directors had approved the implementation of the private placement of up to 10% of the total number of issued shares (excluding treasury shares) of the Company (“Private Placement”).  The Private Placement involves the placement of up to 72,708,500 new ordinary shares in Unisem (“Placement Shares”) at an issue price to be determined upon completion of the book-building exercise for the Placement Shares.

On 23 November 2020 the Company fixed the issue price of the Placement Shares under the first tranche of the Private Placement comprised 51,633,000 Placement Shares (7.1%) at RM5.50 per Placement Share.  The 51,633,000 Placement Shares were issued and allotted on 27 November 2020. 

Within the extension of time of 6 months from 1 January 2021 until 30 June 2021 as granted by Bursa Malaysia Securities Berhad,

• the Company intends to fully place out the remaining 21,075,500 Placement Shares (2.9%), and in any case within the six-month period from the date of the first announcement on the Private Placement, i.e. by 16 May 2021; 
• shortly after the completion of the Private Placement, the Company also intends to resell its 6,745,200 treasury shares on the open market;
• thereafter, Huatian Technology (Malaysia) Sdn Bhd intends to fulfil its undertaking to sell the required number of its Unisem Shares to address the shortfall in the Public Spread Requirement.
