Unless otherwise defined, the definitions set out in the announcement dated 15 December 2020 shall apply herein.

On behalf of the Board of Directors of the Company, M&A Securities wishes to announce that Bursa Securities had via its letter dated 13 January 2021 approved the following:

(i) Admission to the Official List and listing and quotation for 105,655,913 Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants;

(ii) Listing and quotation for up to 105,655,913 new Solarvest shares to be issued arising from the exercise of the Warrants;

(iii) Listing and quotation for up to 264,139,784 Bonus Shares pursuant to Proposed Bonus Issue of Shares;

(iv) Listing and quotation for up to 52,827,956 additional Warrants arising from the adjustment pursuant to the Proposed Bonus Issue of Shares (“Additional Warrants”); and

(v) Listing and quotation for up to 52,827,956 new Solarvest shares to be issued arising from the exercise of the Additional Warrants.

The approval granted by Bursa Securities for the Proposals is subject to the following conditions:-

(i) Solarvest and M&A Securities must fully comply with the relevant provisions under the ACE Market Listing Requirements (“LR”) pertaining to the implementation of the Proposals;

(ii) Solarvest and M&A Securities to inform Bursa Securities upon the completion of the Proposals;

(iii) Solarvest to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals is completed;

(iv) Solarvest and M&A Securities are required to make the relevant announcements pursuant to Rules 6.36(2)(a)&(b) and 6.36(4) of the LR in respect of the Proposed Bonus Issue of Shares; and

(v) Solarvest to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.

Solarvest is required to ensure full compliance of all the requirements as provided under the LR at all times.
