MEMORANDUM OF UNDERSTANDING AND PROCUREMENT AND DISTRIBUTION AGREEMENT

We refer to your Company’s announcements dated 25 January 2021, in respect of the aforesaid matters.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

(I)      MEMORANDUM OF UNDERSTANDING ("MOU") BETWEEN BIOALPHA INTERNATIONAL SDN BHD (“BISB”) AND iHEAL MEDICAL SERVICES SDN BHD (“iHEAL”)

          1.      The relevant regulatory approvals required to be obtained before BISB and iHEAL can provide Covid-19 vaccination services to the public in Malaysia and the estimated time-frame for submission of such applications.

          2.      The states/markets in which the vaccine will be administered by iHEAL.

          3.      Whether a definitive agreement will be entered into subsequently.

(II)     PROCUREMENT AND DISTRIBUTION AGREEMENT ENTERED INTO BETWEEN BIOALPHA INTERNATIONAL SDN. BHD. (“BISB”) AND SHANGHAI BUKUN TRADING CO., LTD (“AGREEMENT”)

          1.      To specify the relevant authorities’ approvals required for the procurement and distribution of vaccines in Malaysia and the estimated timeframe for submission of such applications.

          2.      Whether the Agreements is subject to renewal, and if yes, the terms and tenure such renewal.

          3.      The estimated total capital outlay or costs to be incurred for the procurement and distribution of the Covid-19 vaccines.

(III)    MEMORANDUM OF UNDERSTANDING ("MOU") BETWEEN BIOALPHA INTERNATIONAL SDN BHD (“BISB”) AND ZUELLIG PHARMA SDN BHD (“ZP”)

          1.      The expiry date of the MOU.
