ADJUSTMENTS TO THE TERMS AND CONDITIONS OF EUROPEAN STYLE NON-COLLATERALISED CASH SETTLED CALL WARRANTS EXPIRING ON 13 AUGUST 2021 OVER ORDINARY SHARES OF UWC BERHAD ("UWC") ("UWC-CJ") PURSUANT TO THE BONUS ISSUE OF UP TO 550,237,099 NEW ORDINARY SHARES IN UWC ("BONUS SHARES") ON THE BASIS OF ONE (1) BONUS SHARE FOR EVERY ONE (1) EXISTING SHARE HELD IN UWC AS AT 5.00 P.M. ON 17 FEBRUARY 2021
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 16 Feb 2021
2)  The last date of lodgment : 17 Feb 2021
 

Remarks:

Effective 16 February 2021, the Exercise Price and Exercise Ratio will be adjusted in accordance with the following formulae (and rounded to the nearest four decimal points):

(i) Adjusted Exercise Price = X / (1+N)

(ii) Adjusted Exercise Ratio = E / (1+N)

Where:

X = RM14.88, being the existing Exercise Price immediately prior to the Bonus Issue

N = 1, being the number of Bonus Shares (whether a whole or a fraction) received by a Shareholder for each Share held prior to the Bonus Issue

E = 25.000, being the existing Exercise Ratio immediately prior to the Bonus Issue

The above adjustments will take effect from 9.00 am on 16 February 2021, being the first day of dealings in the Shares on an ex-entitlement basis.
