YHB wishes to announce that the Shareholder of Yinson Offshore Services Limited (“YOSL”) and Yinson Offshore Marine Limited (“YOML”), has on 10 February 2021 passed a Special Resolution to wind up YOSL and YOML by way of member’s voluntary winding-up pursuant to Section 131(1) of the Labuan Companies Act 1990 applying Section 439(1)(b) of the Companies Act 2016 and appointed Mr Yap Wai Bing of Brumby Centre, Lot 42, Jalan Muhibbah, 87000 Federal Territory of Labuan, Malaysia as the Liquidator of YOSL and YOML to conduct the aforesaid winding-up with all powers given by Section 456 of the Companies Act 2016 (“Member’s Voluntary Winding-up”). 

The information of YOSL and YOML are as follows:

The principal activities of YOSL and YOML were investment holding and both are currently dormant. YHB has no future business plans for YOSL and YOML hence, the Member’s Voluntary Winding-up will save costs associated with maintaining them.

The Member’s Voluntary Winding-up will not have any effect on the share capital and shareholdings of the substantial shareholders of YHB and will not have any material effect on the earnings, net assets and gearing of YHB Group for the financial year ending 31 January 2022.

None of the Directors, major shareholders of YHB and/or persons connected to them have any interest, direct or indirect, in the Member’s Voluntary Winding-up.
