ADJUSTMENTS TO THE EXERCISE PRICE OF OUTSTANDING WARRANTS 2018/2023 IN PANSAR BERHAD ("PANSAR" OR THE "COMPANY") ("WARRANTS 2018/2023") IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 21 MAY 2018 ("DEED POLL") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 346,500,000 NEW REDEEMABLE CONVERTIBLE PREFERENCE SHARES IN PANSAR ("RCPS"), ON THE BASIS OF 1 RCPS FOR EVERY 2 EXISTING ORDINARY SHARES IN PANSAR HELD BY THE ENTITLED SHAREHOLDERS AS AT 5.00 P.M. ON MONDAY, 8 MARCH 2021 AT AN ISSUE PRICE OF RM0.53 PER RCPS ("RIGHTS ISSUE") ("ADJUSTMENTS")

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 5 Mar 2021
2)  The last date of lodgment : 8 Mar 2021
 

Remarks:

Holders of Warrants 2018/2023 are advised to refer to the Company's relevant announcements and notice of book closure in relation to the Rights Issue dated 22 February 2021.

Following the Rights Issue, the exercise price of the Warrants 2018/2023 shall be adjusted in accordance with the provisions of the Deed Poll. The adjusted exercise price of the Warrants 2018/2023 pursuant to the Adjustments shall be finalised at a later date prior to the listing of and quotation for the RCPS. The notice to Warrants 2018/2023 Holders (setting out details of the Adjustments) will be despatched in due course.

Holders of Warrants 2018/2023 who wish to be entitled to the Rights Issue must exercise their rights to subscribe for new Pansar Shares by lodging their duly completed exercise forms together with relevant subscription monies with Pansar's Share Registrar (at the address stated above) on or before 5.00 p.m. on 25 February 2021 such that their names will appear in the Record of Depositors for Pansar Shares at 5.00 p.m. on the Entitlement Date.
