1. INTRODUCTION

The Board of Directors of Muar Ban Lee Group Berhad (“MBL” or “the Company”) is pleased to announce that MBL had on 3 March 2021, incorporated a 100%-owned subsidiary namely THERON HOLDINGS SDN. BHD. (‘THERON HOLDINGS”) (Company No.202101007511 / 1407810-D) under the Companies Act 2016 as a private company limited by shares (“Incorporation”).

2. INFORMATION ON THERON HOLDINGS

The issued share capital of THERON HOLDINGS is RM2.00 comprising 2 ordinary shares. The intended principal activities of THERON HOLDINGS are to carry on the business of Investment. 

3. FINANCIAL EFFECTS

The Incorporation of THERON HOLDINGS will not have any material impact on the MBL’s earnings and net assets for the financial year ending 31 December 2021.

4. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST

None of the directors and / or major shareholders and / or person connected with a director or major shareholders have any interest, direct or indirect in the incorporation.

5. DIRECTORS’ RECOMMENDATION

The Board of Directors of MBL is of the opinion that the Incorporation of the new subsidiary is in the best interest of the Company.

 6. APPROVALS REQUIRED

The incorporation of THERON HOLDINGS does not require the approval of shareholders of MBL and the relevant government authorities.
