We refer to the announcements made on 19 January 2021 and 20 January 2021 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of Bioalpha, TA Securities wishes to announce that Bursa Securities had, via its letter dated 8 March 2021, resolved to approve the following:

(i) admission to the Official List and listing and quotation of up to 498,338,103 ICPS to be issued pursuant to the Proposed Rights Issue of ICPS (up to 208,338,103 Rights ICPS) and Proposed Placement of ICPS (up to 290,000,000 Placement ICPS); and

(ii) listing and quotation of;

(a) 1,251,454 Additional Warrants 2017/2022 pursuant to the Adjustments;

(b) up to 83,335,241 new Bioalpha Shares to be issued pursuant to the Proposed Rights Issue of Shares;

(c) up to 498,338,103 new Bioalpha Shares to be issued arising from the conversion of the ICPS; and

(d) up to 1,251,454 new Bioalpha Shares to be issued pursuant to the exercise of the Additional Warrants;

The approval granted by Bursa Securities for the Proposals is subject to the following conditions:

1. Bioalpha and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Rights Issue of Shares, Proposed Rights Issue of ICPS and Proposed Placement of ICPS;

2. Bioalpha and TA Securities to inform Bursa Securities upon the completion of the Proposals;

3. Bioalpha to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue of Shares, Proposed Rights Issue of ICPS and Proposed Placement of ICPS are completed; and

4. Bioalpha to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the conversion of the ICPS as at the end of each quarter together with a detailed computation of listing fees payable.
