G3-WA - Notice of Book Closure

UP TO 451,774,848 ADDITIONAL WARRANTS 2017/2022 TO BE ISSUED ARISING FROM ADJUSTMENT TO THE OUTSTANDING WARRANTS 2017/2022 OF G3 GLOBAL BERHAD HELD AT 5.00 P.M. ON 24 MARCH 2021 PURSUANT TO A BONUS ISSUE EXERCISE
 

Further to Reference No.ILC-09032021-00002, kindly be advised of the following :

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 23 Mar 2021 (Remain unchanged)
2)  The last date of lodgment : 24 Mar 2021 (Remain unchanged)

Remarks 1 :-

"Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 24 March 2021 with adjustment to the number of outstanding G3-WA shares, any shareholder who is entitled to receive G3-WA additional shares may now sell any or all of his G3-WA shares arising from adjustment consequent to the bonus issue beginning the Ex-Date (23 March 2021). 

For example, if Mr X purchases 100 G3-WA shares on cum basis on 22 March 2021, Mr X should receive 100 shares on 24 March 2021. Consequent to a bonus issue, an additional of 300 G3-WA shares will be credited into Mr X's CDS account on the night of 24 March 2021 being the Book Closing Date. Therefore, Mr X can sell the a total of 400 G3-WA shares on or after the Ex-Date ie from 23 March 2021 onwards." 

Remarks 2:
The Board of Directors of G3 Global Berhad has resolved (by majority decision) to fix the entitlement date of the Bonus Issue on 24 March 2021 ("Entitlement Date"). 

Approval from Bursa Malaysia Securities Berhad for the Bonus Issue was obtained on 8 January 2021. Shareholders' approval for the Bonus Issue was obtained on 5 February 2021. The Additional Warrants will be listed and quoted simultaneously with the Bonus Shares on 25 March 2021, being the next market day after the Entitlement Date. 

The Additional Warrants shall be allotted to entitled warrantholders of G3 Global Berhad whose name appear in the Record of Warrantholders of G3 Global Berhad at 5.00 p.m. on Entitlement Date. The actual number of Additional Warrants to be issued and allotted would depend on the outstanding number of Warrants which have yet to be exercised as at the Entitlement Date.

Further, the exercise price of the Warrants will be adjusted from RM0.10 to RM0.03 each.

The warrantholders must exercise their respective outstanding Warrants and lodge their duly completed and signed exercise form with the exercise monies with the Share Registrar by 5.00 p.m. on 15 March 2021 in order to be entitled to the Bonus Issue.
