1. INTRODUCTION

The Board of Directors of SLHGB (“Board”) wishes to announce that the Company had on 22 March 2021 incorporated a new wholly-owned subsidiary, namely Harmoni Dental Service Sdn Bhd (Registration No. 202101010252 (1410551-M)) (“HDS”) in Malaysia under the Companies Act 2016 (hereinafter referred to as the “Incorporation”).

2. INFORMATION ON HDS

HDS was incorporated in Malaysia as a private limited company on 22 March 2021. HDS is wholly-owned by SLHGB with an issued share capital of RM1.00 comprising 1 ordinary share. The intended principal activity of HDS is provision of dental service and dental consultancy. The Director of HDS is Dato’ Dr. Wong Ruen Yuan.

3. RATIONALE

The Incorporation is primarily to facilitate SLHGB’s businesses.

4. EFFECTS OF THE INCORPORATION

The Incorporation will not have any effect on the issued share capital and substantial shareholders’ shareholding, and is not expected to have any material effect on the earnings per share, net assets per share and gearing of SLHGB’s group of companies for the financial year ending 31 December 2021.
